Terms and Conditions for AMPED24

These Terms & Conditions set out the terms and conditions on which you register for and participate in the AMPED24 event (AMPED24), run by Schneider Electric (Australia) Pty Ltd ABN 42 004 969 304 (Schneider Electric), 2 Banfield Rd, Macquarie Park NSW 2113.

AMPED24 will run from Tuesday, 28 May 2024 to Friday, 31 May 2024 at the Cairns Convention Centre (Convention Centre), Crystalbrook Collection properties in Cairns (Hotels) and selected venues in Cairns, Queensland and surrounding areas (Event Venues).

Any reference in these Terms & Conditions to "Affiliates” of Schneider Electric shall mean a reference to any corporation, company or other legal entity that is directly or indirectly (i) controlling Schneider Electric, or (ii) controlled by Schneider Electric, or (iii) under common control with Schneider Electric, and the term “control” shall, for the purpose of this definition, mean the direct or indirect ownership of more than 50% of the stock capital and/or of the voting rights. Notwithstanding the aforesaid definition, AVEVA Group Plc. and all its subsidiaries shall not be deemed as Affiliates of Schneider Electric.

Capitalised terms which are not defined in these Terms & Conditions are defined in the Club Clipsal Terms & Conditions.

Registration and Payment

Schneider Electric may invite you to register for AMPED24 via email. Upon your receipt of an invitation, you may register for AMPED24 via AMPED24’s online registration platform. You will receive a confirmation email if your registration has been confirmed by Schneider Electric and you will be a registered participant (Participant).

Receiving an invitation to register for AMPED24 does not guarantee that you will be able to register for AMPED24. AMPED24 has a maximum number of Participants, as determined by Schneider Electric. If this maximum number is reached before the time you attempt to register for AMPED24, you will not able to register for AMPED24.

Your invitation to register is personal to you or, if specified in your invitation, to you, your partner (Partner) and your child/children under 18 years of age (Child).

Registration is only open to Club Clipsal Business Owners. Other Club Clipsal Members are not eligible to register for AMPED24 without Schneider Electric’s prior written approval.

If you cannot attend AMPED24 and would like Schneider Electric to send an invitation to another person in your organisation, you can ask Schneider Electric to send an invitation to that person via email to club.clipsal@se.com, provided that you have that person’s consent to share contact their details with Schneider Electric. Schneider Electric may choose whether or not invite this person to register for AMPED24 at its discretion.

You must select and pay for your AMPED24 package during the registration process. You can pay for your package using money or a combination of at least $150 (in money) and Club Clipsal Rewards Points. Credit card payments are accepted.

You, your Partner and/or your Child may only attend activities listed in the program (including functions, meals and activities) if you have purchased a package which permits you, your Partner and/or your Child to attend those activities. Please check the details of your package carefully before you pay for your package.

Acceptance of Terms and Conditions

Your registration for and participation in AMPED24 is subject to your acceptance of these Terms and Conditions, to the exclusion of any other verbal or written terms or agreements between Schneider Electric and you in relation to the same subject matter, unless otherwise expressly specified in these Terms & Conditions.

You will be asked on AMPED24's online registration platform to confirm your acceptance of these Terms & Conditions by clicking on the appropriate button or check box presented with these Terms & Conditions.

By registering for or participating in AMPED24, you acknowledge that you have read, understood and accept these Terms & Conditions and you agree to be bound by them. If any Child is included in your AMPED24 package, you accept these Terms and Conditions on their behalf and you agree that your Child is bound by them.[If your Partner is included in your invitation and AMPED24 package, by participating in any part of AMPED24, your Partner accepts these Terms & Conditions and agrees to be bound by them.

Schneider Electric may update these Terms & Conditions from time to time. Where reasonably practical, Schneider Electric will provide you with prior notice of the updated Terms & Conditions. The updated Terms & Conditions will be effective immediately on being posted to AMPED24’s online registration platform.

Description of AMPED24

Information on AMPED24 will be provided to you on AMPED24’s online registration platform

Depending on your package, your participation in AMPED24 may include: 4 nights’ accommodation, breakfast, airport transfers, conference events, lunches, functions and activities. Full details of AMPED24 inclusions for selected packages are available at https://www.clipsal.com/amped24/accommodation-and-packages. Travel insurance, flights, additional Hotel charges and any other ancillary costs related to participation in AMPED24 are excluded from the package. Schneider Electric requires all Participants to obtain travel insurance for themselves and, if applicable, their Partners and their Children to attend AMPED24.

Schneider Electric may change any aspect of AMPED24 (including, but not limited to, the dates and/or location of AMPED24, the name AMPED24, the topics, the scheduled content and/or the speakers) or cancel AMPED24 due to circumstances beyond Schneider Electric’s reasonable control. Schneider Electric and its designated third-party service providers (collectively, the Organisers) will use their best efforts to notify Participants as soon as possible via AMPED24’s online registration platform of any changes to, or cancellation of, AMPED24.

Kids Club

The Organisers will facilitate a “Kids Club” for Children between the ages of 4 and 13 years old.

To register one or more of your Children for the Kids Club, you must complete the registration form for each Child sent by email to your nominated email address by Tuesday, 2 April 2024. The Organisers may accept registrations after Tuesday, 2 April 2024 at its discretion, subject to availability. If you do not provide all the information requested in the registration form (including your contact numbers and your Child’s dietary requirements, allergies and medical conditions) and sign the medical assistance consent form for your Child, your Child will not be accepted in the Kids Club.

Places in the Kids Club are limited. The Organisers do not guarantee that there will be a place for your Child/Children in the Kids Club.

Once your Child/Children are accepted in the Kids Club, the Organisers will contact you to customise their Kids Club experience based on their age/s and interests.

The Kids Club will run on:

Tuesday, 28 May 2024 from 5:00pm (AEST) to 10:30pm (AEST);
Wednesday, 29 May 2024 from 8:00am (AEST) to 5:00pm (AEST);
Thursday, 30 May 2024 from 8:00am (AEST) to 5:00pm (AEST); and
Friday, 31 May 2024 from 5:30pm (AEST) to 11:00pm (AEST).

You or your Partner must sign your Child/Children into and out of the Kids Club during these hours.

If you or your Partner do not collect your Child/Children by the above closing times, you will be charged a late fee which is a reasonable pre-estimate of the costs incurred by the Organisers in providing care to your Child/Children.

Additional private babysitting services may also be provided, subject to availability.

Hotels

The Hotels have limited capacity. You may not be able to choose the room/s of your preference at the Hotels. If the room allocation at the Hotels is exhausted, you may not be able to register as a Participant for AMPED24.

You can check-in to the Hotels from 2:00pm (AEST) onwards and must check out by 11:00am (AEST). You must check-in and check-out online or via the Hotels’ app, as check-in is contactless and paperless.

The Hotels are cash free and only accept card payments. The Hotels will require a credit/debit card imprint and will execute a pre-authorisation of $100 per night booked from each guest upon check-in to cover any additional charges, i.e. room service, spa services, laundry, additional bedding, porterage and carparking (subject to availability at time of booking), that are the responsibility of the guest.

You must pay your account balance prior to your departure or, if you fail to do so, any outstanding amounts incurred on your account will be charged to the card you provided for the purposes of pre-authorisation.

You can add an extra bed (rollaway) for $60 per night to some room types, subject to availability. Self-parking is available at $12 per day or valet parking at $22 per day, subject to capacity.

A 10% discount offer at the Hotels’ restaurants and bars is available to Participants, subject to Crystalbrook Crowd Terms and Conditions available at https://www.crystalbrookcollection.com/crowd-tcs.

If you, your Partner or your Children cause or contribute to any loss or damage to the property of the Hotels, including any fixtures, fittings, furnishings or goods, you will be responsible for such loss or damage. Schneider Electric will not be responsible for any such loss or damage, except to the extent that such Loss was caused by Schneider Electric’s negligent act or omission or breach of these Terms and Conditions.

The Hotels' booking conditions apply to the Hotel component of your package and form part of these Terms and Conditions.

Participation in AMPED24

You must wear an identification badge at all times in order to access the conference rooms and/or exhibition areas in the Conference Centre (Conference Areas). Failure to do so may result in you being refused access to such areas.

In the event of overcrowding and for safety reasons, the Organisers reserve the right to deny Participants access to the Conference Areas. The Conference Centre’s Conditions of Entry apply without reservation to all Participants (such as, for instance, no smoking in these areas).

AMPED24 is organised in a spirit of open-mindedness. However, to ensure that AMPED24 runs smoothly, you and your Partner must:

comply with the Event Venues’ rules or terms and conditions which you are notified of;
comply (and ensure your Children comply) with all reasonable directions of the Organisers’ personnel in relation to AMPED24, including employees, contractors, authorised agents and security personnel of the Organisers; and
accompany your Children within the Hotel, and ensure your Children remain under your control and supervision at all times, except when your Children are attending the Kids Club.

You and your Partner must not and must ensure that your Children do not:

engage in conduct that may jeopardise the proper conduct of AMPED24;
act in a disruptive, annoying, threatening, abusive, unlawful, harassing or otherwise inappropriate manner including doing anything that may diminish the good name or reputation of Schneider Electric or the other Organisers; or
breach these Terms & Conditionss

If Schneider Electric reasonably considers that you, your Partner and/or your Children have failed to observe the rules set out in this “Participation in AMPED24” section, you and/or they may be excluded from all, or any part of, AMPED24.

Cancellations and refunds

Should you wish to cancel your registration for AMPED24, you must notify Schneider Electric in writing as soon as possible via email to club.clipsal@se.com.

If your cancellation notice is received:

on or before 31 January 2024, you will receive a full refund of your AMPED24 package price, less an administration fee of between $150 and $300 depending on your package (Administration Fee);
between 1 February 2024 to 31 March 2024 (inclusive):
1. if Schneider Electric can invite other Participants to cover your AMPED24 package, you will receive a full refund of your AMPED24 package price, less an Administration Fee; or
2. if Schneider Electric are unable to find other Participants to cover your AMPED24 package, you will receive a refund of 50% of your AMPED24 package price, less an Administration Fee; and
after 31 March 2024, you will not receive any refund.

If AMPED24 is cancelled by the Organisers because of an event beyond the reasonable control of the Organisers (including a natural disaster, pandemic, war or similar), the Organisers will endeavour to reschedule AMPED24. If the Organisers reschedule AMPED24, you will be entitled to a package of the same value (or a higher value) as the package you initially purchased if you are able to attend the rescheduled AMPED24. If you are not able to attend AMPED24, Schneider Electric will provide you with a full refund of on your AMPED24 package and no Administration Fee will be applicable. Schneider Electric will not be responsible for any other costs you incur in these circumstances. If AMPED24 is cancelled by the Organisers for any other reason, Schneider Electric will provide you with a full refund of on your AMPED24 package and no Administration Fee will be applicable. Schneider Electric will not be responsible for any other costs you incur in these circumstances.

If you do not agree with any material changes which Schneider Electric has made to AMPED24 or any material updates made to these Terms and Conditions, you may cancel your registration and Schneider Electric will provide you with a full refund on your AMPED24 package and no Administration Fee will be applicable.

All refunds will be provided via the same method or combination of methods you used to pay for the package. If you are entitled to a full refund, you will receive a refund of the same amount of money and, if applicable, Club Clipsal Rewards Points which you used to purchase the package less any applicable Administration Fee. If you are entitled to a refund of 50% of your AMPED24 package price, you will receive a refund of half the amount money and, if applicable, half the amount of Club Clipsal Rewards Points which you used to purchase the package.

Data Protection and Privacy Collection Notice

Schneider Electric has adopted the policies and practices of data protection described in these Terms & Conditions and in its Privacy Policy available at https://www.se.com/au/en/about-us/legal/data-privacy.jsp.

When you register for AMPED24, you may consent to receive news and commercial information from Schneider Electric and its affiliates via electronic means such as email.

Schneider Electric may collect and use your personal information (including your full name, job title, company, email address, mobile number, country) and the personal information of your Partner and your Child to provide you with your AMPED24 package and to contact you during or after AMPED24 in relation to AMPED24, including to make appropriate event and travel arrangements on your behalf. Schneider Electric may disclose your personal information to our Affiliates and the other Organisers for this purpose and will take reasonable steps to use secure methods of disclosure. These entities may be located overseas in countries such as: [New Zealand].

If Schneider Electric is not able to collect your personal information for this purpose, the Organisers may not be able to provide you with your AMPED24 package.

If you do not wish for Schneider Electric to contact you after AMPED24, if you wish to exercise any of your privacy rights (such as accessing or correcting your personal information, or withdrawing your consent to Schneider Electric using your personal information), please contact us via Global-Data-Privacy@schneider-electric.com. Please refer to our Privacy Policy for information on how you can complain about a privacy breach and how we will deal with the complaint.

Except as described herein, Schneider Electric shall not sell, rent, or otherwise share or disclose your personal information to third parties.

Image rights

Schneider Electric and/or any Organiser appointed by Schneider Electric, will be taking photographs and/or video of groups of Participants to the SE Event as part of general views of the Conference Areas and the activities conducted during AMPED24.

By participating in AMPED24, it is therefore, therefore, possible that photographs or video showing you, your Partner and your Child as part of a group of Participants may be taken or filmed during your attendance of AMPED24. Photographers and Organisers will respect your choice if you indicate that you would prefer not to have your picture taken as a close-up.

By accepting these Terms & Conditions, you agree that such photographs or video showing you, your Partner or your Child as part of a group of Participants, may be taken by Schneider Electric or the Organisers and you consent to Schneider Electric and its Affiliates using and reproducing such photographs or video without compensation for the sole purpose of publishing such photographs or video on Schneider Electric’s websites, paper editions (free or paid distribution), newsletters, press releases, social networks or in other forms of communication or media format that Schneider Electric or its Affiliates may choose to illustrate either of:

Schneider Electric’s and its Affiliate’s internal and external communication campaigns related to AMPED24; or
internal or external communication materials developed in relation to any other internal or external events subsequently organized by Schneider Electric or its Affiliates,

in either case at country, regional and/or international level(s).

The foregoing provisions under this section shall apply to the fullest extent permitted under the law governing these Terms & Conditions and without prejudice to statutory rights protecting the image of a person which, as the case may be, benefit any participant under public order laws and regulations applicable in the concerned participant’s country or state of residence at the time of AMPED24.

For any Participant acting as a speaker during AMPED24, a dedicated Speaker Engagement Agreement including but not limited to the speaker’s rights on his/her image, will be submitted to such speaker’s acceptance separately from and in addition to these Terms & Conditions.

Intellectual property

Any information, content and materials provided to you or otherwise produced and/or exhibited or displayed by Schneider Electric during the AMPED24 through your registration and/or attendance to the AMPED24, including but not limited to all images, designs, photographs, writings, graphs or data (AMPED24 Materials) are and shall remain the property of Schneider Electric, its affiliates, its partners or its/their licensors (IP Owners) and are, as applicable, protected by copyright, trademark, trade secret, patent or other intellectual property rights. No right or title to any AMPED24 Materials is granted, transferred, or otherwise conveyed to any participant in AMPED24. AMPED24 Materials cannot be reused by the participants for any purpose whatsoever without the prior written agreement of its/their IP Owners.

Registering for and attending AMPED24 does not grant you any right to make any use, reproduction, representation, or exploitation of the company name of Schneider Electric or its affiliates, or any of its/their tradenames, logos, brands or trademarks and each and any of the same is and remains the sole and exclusive property of Schneider Electric or its affiliates.

Leads Capture and Confidentiality

In addition to employees of Schneider Electric or its Affiliates who may be entrusted with the mission to conduct leads capture activity (as defined below) at the AMPED24, Schneider Electric may appoint a Participant to also conduct leads capture activity and if the Participant accepts this appointment, the Participant will be a Leads Capture Participant for the duration of AMPED24.

Leads Capture Participants will have the role of meeting or otherwise contacting other Participants and collecting, through communication tools and materials provided by Schneider Electric, any expression of interest or potential business opportunities that such other Participants (Interviewed Participants) may decide at their sole discretion to disclose with regard to Schneider Electric or its Affiliates’ products, services or solutions and/or, as the case may be, any information related to business projects that the Interviewed Participants may have in fields of activity where Schneider Electric, its Affiliates and/or the Leads Capture Participants may be active or in development (Leads Capture).

The company name of the Leads Capture Participants will be expressly identified at the start of the AMPED24 to the other participants.

The information collected from Interviewed Participants by Schneider Electric or its Affiliates through the above-defined leads capture process will be disclosed by Schneider Electric and/or its Affiliates only to the Leads Capture Participants selected by the Interviewed Participants, to the exclusion of any other third party, and such disclosure will be made for the sole purposes to facilitate the opportunity for Schneider Electric, its Affiliates and/or the Leads Capture Participants to enter in contact and pursue further business discussions with the Interviewed Participant during the AMPED24 in relation with their respective field of business.

Confidential Information means any information received from any Interviewed Participant in the course or in the result of the leads capture activity, during or after the AMPED24, through the communication tools and materials provided by Schneider Electric or it's Affiliates, either in writing, electronically, orally or visually, such as but not limited to technical, financial or business information, plans, designs, concepts, techniques, methods, processes, procedures, know-how, materials, prototypes, or samples.

Participants acknowledge that Schneider Electric will and will cause its Affiliates to keep in strict confidentiality any Confidential Information received by Schneider Electric in accordance with the foregoing or from discussions between the Leads Capture Participants and Schneider Electric or its Affiliates as a result of Leads Capture activity.

In case any Interviewed Participant expressly identifies to Schneider Electric that any Confidential Information it disclosed to Schneider Electric or its Affiliates in the course or in result of such Leads Capture activity, constitute a trade secret of the Interviewed Participant within the meaning of the laws applicable in the country / state where it is incorporated as a company or otherwise has its registered office or principal place of business, Schneider Electric and its concerned Affiliate’s obligations of confidentiality and restricted use defined under these Terms & Conditions shall remain in full force and effect with respect to such identified information for as long as it remains a trade secret under said country / state applicable laws.

Schneider Electric will execute with each Leads Capture Participant a non-disclosure agreement imposing the same confidentiality and restricted use obligations on the Leads Capture Participant with regards to any Interviewed Participants’ Confidential Information received or otherwise accessed by Leads Capture Participant in the course of Leads Capture activity.

The above requirements shall not apply to information which Schneider Electric or its concerned Affiliate, can prove:

is or becomes part of the public domain prior to, or after the disclosure thereof and in such case through no wrongful act of Schneider Electric or its concerned Affiliate; or
is already known to Schneider Electric or its concerned Affiliate as evidenced by written documentation in its/their records; or
has been lawfully received by Schneider Electric or its concerned Affiliate from a third party having no restriction on disclosure towards the concerned Interviewed Participant; or
it is independently developed by Schneider Electric or its concerned Affiliate without the benefit or useof any Confidential Information disclosed by the Interviewed Participant, as evidenced by written documentation in its/their records; or
it is approved for disclosure by prior written consent of the Interviewed Participant to Schneider Electric or its concerned Affiliate; or
it is legally required to be disclosed by Schneider Electric or its concerned Affiliate in response to a valid order of a court of competent jurisdiction or authorized government agency, provided that, as far as legally possible, Schneider Electric or its concerned Affiliate, promptly after becoming aware of such requirement, shall notify thereof the concerned Interviewed Participant so as to give the latter the opportunity to contest the disclosure or to seek any available legal remedies to maintain such information in confidentiality.

To the maximum extent permitted by law, Schneider Electric shall not bear any liability with regards to any discussion, relationship or transaction which may be pursued or entered into at any time whatsoever between any of the Interviewed Participants and the Leads Capture Participant(s) having contacted and, as applicable, pursued further business discussions with such Interviewed Participants during or after the AMPED24 in the course of Leads Capture activity which do not involve Schneider Electric.

Liability

You accept personal responsibility and liability for any damage, loss, claim, or expense including but not limited to loss due to illness, personal injury, death and/or loss or damage to property (Loss) that you, your Partner or your Child may suffer as a result of or in connection with your participation in AMPED24 and its related activities to the extent that you, your Partner or your Child cause or contribute to the Loss.

You release and forever discharge and agree to indemnify and hold harmless Schneider Electric, its directors, officers, employees, agents, successors, assigns and Affiliates (Indemnified Parties) from any and all Loss arising out of or in connection with your, your Partner’s and your Child’s participation in AMPE24 and related activities except to the extent that such Loss was caused by the negligent act or omission or breach of the Indemnified Parties. You acknowledge and agree that the foregoing waiver, release and indemnification is intended to operate and be construed to the maximum extent permitted by law.

Neither party will be liable in statute, contract or in tort (including negligence) for any indirect, incidental, special, punitive or consequential damages suffered or incurred by the other party (or any Partner, Child or Affiliate of a party, as applicable), such as but not limited to loss of revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of reputation or waste of management or office time, arising out of or in connection with AMPED24.

Nothing in these Terms & Conditions limits your rights under any statutory consumer guarantee to the extent that they cannot be excluded or limited under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth) (ACL) or other applicable law.

To the extent permitted by statute the liability, if any, of Schneider Electric or its Affiliates arising from any failure to comply with a statutory guarantee under the ACL, in relation to the supply of goods or services other than goods or services of a kind ordinarily acquired for personal, domestic or household use or consumption, is at (as applicable) Schneider Electric or its Affiliates’ option limited to:

in the case of goods:
1. the replacement of the goods or the supply of equivalent goods;
2. the repair of the goods;
3. the payment of the cost of replacing the goods or of acquiring equivalent goods; or
4. the payment of the cost of having the goods repaired; and
in the case of services:
1. the supplying of the services again; or
2. the payment of the cost of having the services supplied again.

General

We may assign, novate or otherwise deal with any of our rights or obligations under these Terms & Conditions without obtaining your consent, if to do so will be unlikely to cause any material detriment to you.

The laws of New South Wales, Australia govern these Terms & Conditions and you and we irrevocably agree to submit to the non-exclusive jurisdiction of the courts having jurisdiction in New South Wales.

These Terms & Conditions form the entire agreement between Schneider Electric and you specifically regarding AMPED24.

If any provision of these Term & Conditions is held to be unlawful, invalid or unenforceable, that provision will be deemed severed and where capable the validity and enforceability of the remaining provisions of these Terms & Conditions will not be affected.
